<국문초록>

현행 공정거래법상 금융지주회사는 금융회사 이외의 회사, 즉 산업자본을 소유하지 못하고, 일반지주회사는 금융회사를 소유하지 못한다. 일반적으로 이런 금산분리는 산업의 위험이 금융으로 전이되는 것을 방지하고, 금융기관이 재벌의 경제력 확장에 사금고로 이용되는 것을 방시하는 것을 목적으로 한다. 그러나 은행 이외의 금융기관까지 적용대상으로 하고 있다는 점에서 다소 특이한 규제이다. 이 논문에서는 금산분리에 관한 위 공정거래법상 규제의 폐지를 주장한다. 먼저 금융지주회사가 산업자본을 소유하지 못하도록 하는 것은 경제력집중과 별 관계가 없기 때문에 공정거래법에 둘 이유가 없다. 이미 금융지주회사법에 같은 규정이 있기도 하다. 나아가 우리나라에서 금융자본, 특히 은행은 산업자본의 소유를 통해서 경제력을 집중하거나 금융시장에서의 지배력을 확장하려고 한 역사가 없다. 그 이유는 명확하지 않지만, 우리나라 은행산업의 특수성 및 금융지주회사의 분산된 소유구조에서 그 이유를 찾을 수 있다고 생각한다. 결국 이 규제는 해결하고자 하는 문제가 실제로는 존재하지 않았다. 일반지주회사의 금융회사 주식 소유를 금지하는 규제도 설득력이 없다. 첫째, 유사한 입법례를 찾기가 어렵다. 비은행 금융회사에 대해서 그 소유를 제한하는 경우는 찾아보기 어렵고, 필요하다면 대주주 적격성을 심사하는 정도이다. 둘째, 현행 규제는 지주회사 체제를 택한 기업집단과 그렇지 않은 기업집단을 아무 이론적 근거 없이 차별적으로 취급하고 있다. 지주회사 체제가 아닌 기업집단 가운데는 이미 상당한 수의 비은행 금융회사를 지배하고 있는 기업집단도 있다. 지주회사 체제를 택하더라도 비은행 금융회사를 지주회사 바깥의 계열사로 보유하는 것은 여전히 허용된다. 기업집단의 소유구조의 차이가 왜 금융회사를 가질 수 있는지와 연결되는지 이론적 근거는 아직 제시되고 있지 않다. 셋째, 금융업의 범위가 대단히 넓고, 그 가운데는 은행과 달리 단순히 서비스의 제공에 그치는 사업도 많다. 보험회사를 제외하면, 비은행 금융회사는 파산하더라도 시스템위험이 없고, 대주주가 과도하게 위험을 추구할 인센티브도 없으며, 그 자금을 이용하여 지배력을 확대하는 데 특별히 유리한 측면도 거의 없다. 실제 사례에서 문제가 되었던 금융기관도 모두 수신기관이 아니었기 때문에, 왜 이들 금융회사를 소유하지 못하도록 했는지 정책적인 이유는 이해하기 어렵다. 이처럼 공정거래법상 금산분리는 규제의 근거부터 다시 검토할 필요가 있다.

<Abstract>

Under the Korean Fair Trade Act, financial holding companies cannot own companies other than financial companies, and general holding companies cannot own financial companies. In general, this “separation of finance and commerce” aims to prevent industrial risks from being contagious to finance sector, and to prevent financial institutions from being used as financial sources to expand the economic power of chaebols, i.e., Korean conglomerates. This regulation seems rather unusual, in that it also applies to financial companies other than banks. This paper argues for the repeal of the above regulations. First of all, there is no reason for the Fair Trade Act to prohibit financial holding companies from commercial companies, since it has nothing to do with concentration of economic power, which is one of the purposes of the Korean Fair Trade Act. In fact, a similar provision already exists in the Financial Holding Companies Act. Furthermore, in Korea, financial companies, especially banks, have no history of expanding economic power through the ownership of commercial companies. The reason is not clear, but the peculiarities of the Korean banking industry and the dispersed ownership structure of financial holding companies are likely to have something to do with the such history. In the end, the problem to be solved by this regulation did not actually exist. Regulations that prohibit general holding companies from owning stocks in financial companies are not convincing, either. First, it is difficult to find similar regulation in other countries. Restricting the ownership of non-bank financial companies are very rare, and if necessary, it merely requires to examine the qualifications of controlling shareholders. Second, the current regulation discriminates, without any theoretical basis, the corporate groups which chose to move to the holding company structure. Several non-holding company groups already have a significant number of non-bank financial companies. If the holding company system is adopted, it is still permissible to hold non-bank financial companies as affiliates companies existing outside the holding company. As of now, no theoretical foundation was found on such discrimination. Third, the notion of the “financial” companies can be extended very far, and thus several service industry can be regarded as a “financial” sector. Non-bank financial companies have no systemic risk in the event of bankruptcy, no incentives for large shareholders to pursue excessive risk, and little particular advantage in using their funds to expand control. Thus, it is difficult to find the policy why they were not allowed to own these financial companies. As such, the separation of finance and commerce under the Fair Trade Act needs to be carefully examined.
