<국문초록>

대상판결은 담보신탁에 기초하여 체육필수시설의 매각이 이루어진 경우, 체육시설법 제27조 제2항 제4호가 적용되어 매수인은 체육시설업자의 권리·의무를 승계한다고 보았다. 필자는 다음과 같은 이유에서 대상판결의 결론에 찬성한다. 첫째, 담보신탁에도 체육시설법 제27조 제2항이 적용된다고 보아야 회원보호라는 체육시설법의 입법 취지가 달성될 수 있다. 위 조항의 입법론적 타당성이나 회원의 보호필요성에 의문이 있더라도, 위 조항을 위헌이라고 볼 수 없고 담보신탁을 체육시설법 제27조 제2항 제4호에 포함시키는 데 법문언상 아무런 문제가 없는 이상, 해석자로서는 가급적 법규범의 권위를 존중하는 방향으로 법률을 해석해야 한다. 둘째, 체육시설법 제27조 제1항은 사업자의 자발적 의사에 따라 체육시설이 이전된 경우를 주로 염두에 두고 회원을 보호하기 위해 마련된 규정이고, 제27조 제2항은 사업자의 자발적 의사와 무관하게 체육시설이 이전된 경우 회원을 보호하기 위해 마련된 규정이라고 해석함이 법률체계와 부합한다. 셋째, 필자의 생각에 대해서는, 매수인은 수탁자로부터 체육시설을 승계취득하는 것인데 수탁자가 위탁자로부터 승계하지 않은 권리·의무를 매수인이 새롭게 승계하는 것은 불합리하다는 반론이 있을 수 있다(법형식에 주목하는 관점). 그러나 담보신탁의 실질에 주목한다면 매수인을 통상의 전득자와 달리 취급하는 것도 충분히 가능하다. “누구도 자신이 가진 것 이상을 줄 수 없다.”라는 법원칙이 언제나 절대적으로 지켜져야 하는 원칙은 아니다. 비슷한 맥락에서 담보신탁의 수익자를 회생절차에서 회생담보권자로 취급할 수도 있다. 그런데 체육시설법 제27조 제2항은 다음과 같은 점에서 비효율적이고, 입법론의 관점에서 개선이 필요하다. 첫째, 위 조항에 따라 회원은 공시제도가 충분히 갖추어지지 못한 상황에서 사실상 최우선변제권을 누리게 된다. 이러한 회원의 권리는 체육필수시설에 대한 담보거래에 심각한 장애요소가 된다. 둘째, 회생절차에서 회원의 변제비율을 어떻게 정하는 것이 공정·형평의 원칙에 부합하는지 불명확하다. 이러한 불명확성으로 인해 회생계획안의 작성 및 인가과정에서 거래비용이 증가할 수 있다. 입법론으로는 체육시설법 제27조 제2항을 보완하여 회원이 공시요건을 갖춘 시점을 기준으로 우선변제권을 부여하거나, 위 조항을 폐지하고 유상보증이나 보험제도를 통해 회원을 보호하는 방안을 강구하는 것이 바람직하다.

<Abstract>

The recent Korean Supreme Court en banc Decision 2016Da220143 rendered on October 18, 2018 (hereinafter “subject case”) ruled that, when the sale of the essential sports facilities was conducted by the trustee of collateral trust, the rights and duties of sports facilities operator are transferred to the buyer by applying Article 27 Parag. (2) Subparag. 4 of the Sports Facilities Act (hereinafter “Act”). This paper agrees with the conclusion of the ruling for the following reasons: ① The legislative purpose of the Act, which is to protect the members of sports facilities, can only be achieved, if Article 27 Parag. (2) of the Act is applied to the trust for security purposes. Even if there is a question about the legislative validity of the foregoing clause or the necessity of protection of the members, a judge should interpret the law to respect the authority of the law to the fullest possible extent, except where the law is unconstitutional or the collateral trust at issue is beyond the permissible meaning of the words of Article 27 Parag. (2) Subparag. 4 of the Act. ② Article 27 Parag. (1) of the Act is intended to protect the members of sports facilities mainly considering the situation where the sports facilities are sold according to the voluntary will of the operator. Therefore, it conforms to the legal framework to interpret Article 27 Parag. (2) of the Act as having been introduced to protect the members when the sports facilities are sold irrespective of the operator’s will. ③ In a rebuttal to my opinion, one might argue that, with his focus on the form of collateral trust, a buyer’s inheritance of the rights and duties that the trustee did not inherit from the trustor is unreasonable, as the buyer acquires the sports facilities by succession from the trustor (“no one can give more than what he has”). However, focusing on the substance of collateral trust, it is possible to treat the buyer, who is the successor of the trustee, differently from the ordinary third party acquiring the property from the buyer, who had purchased the pertinent property from the seller. In a similar vein, beneficiaries of collateral trusts can be treated as rehabilitation-secured creditors in the rehabilitation process. However, Article 27 Parag. (2) of the Act is inefficient in terms of the following points and needs to be improved from the legislative perspective. First, according to the foregoing clause, the members will enjoy the de facto right to receive repayment of the deposit in preference to any other creditors, even if the requirements of public announcement are not satisfied. This will be a serious hindrance to collateral transactions of essential sports facilities. Second, it is unclear how to determine the repayment ratio of the members’ claims in the rehabilitation proceedings so that it is in line with the principle of fair and equal treatment in the Article 217 of the Debtor Rehabilitation and Bankruptcy Act. This uncertainty can lead to increased transaction costs in drafting and authorizing the rehabilitation plan. From the standpoint of legislation, a desirable resolution would be to ① supplement Article 27 Parag. (2) of the Act to treat the members as secured-creditors based on the time at which the members meet the requirements of public announcement, or ② abolish the foregoing clause and protect the members through a guarantee or the insurance scheme.
